Terms & conditions

These Terms & Conditions (“Terms”) apply to all proposals, quotes, orders, and services provided by Twist Agency (“Twist”, “we”, “us”) to the client (“Client”, “you”). By accepting a quote, signing an order, paying an invoice or otherwise engaging Twist, you agree to these Terms. Any Client terms are expressly excluded unless agreed in writing.

1. Scope of services

Twist offers strategic and creative marketing services, including: social media audit and strategy, social media management, content creation; SEO content strategy; campaign concepting, and marketing coaching or consulting.


Each project is defined in a Notion proposal or email proposal that specifies what’s included: deliverables, timing, and budget.


If a project runs in phases, the next phase starts only once the previous one is approved.

2. Quotes, fees & revisions

Quotes are valid for 15 calendar days unless stated otherwise. Prices are exclusive of VAT, taxes, banking or platform fees.

Any third-party costs (media spend, stock licenses, fonts, plug-ins, prints, hosting, travel, location fees, models/talents, MUAH, etc.) are charged to the Client and may require prepayment.

3. Payment terms

Invoices are sent electronically and payable within 15 calendar days of the invoice date, unless otherwise agreed.

We may request upfront deposits (e.g., 30%) to schedule or start work.

Late payments:

  • Statutory late-payment interest applies (Belgian Law of 2 August 2002 / EU Directive 2011/7/EU).

  • Minimum fixed recovery fee €40 (B2B).

 

We may suspend work or delay deliveries if invoices are overdue.

4. Timing, delays & cooperation

We’ll deliver with care and within agreed timelines. Timelines depend on Client input (briefs, assets, approvals, access).

Delays caused by missing/late input shift milestones accordingly.

If a shoot or session is booked and the Client cancels <48h prior without a valid force-majeure reason, actual costs (crew, studio, rentals) may be charged.

5. Changes & cancellations

If you need to make changes, we’ll adapt where possible. Any additional work, revisions, or changes in direction will be discussed openly and quoted before proceeding.

If a project is cancelled after confirmation:

  • Before the start → 20% of the total fee (min. €100) + any costs already made.

  • Once started → all work completed to date + 20% of the remaining fee.

  • For ongoing retainers → one month’s written notice.

 

If we ever need to cancel (e.g., unforeseen circumstances), you’ll only be invoiced for the work already delivered.

6. Approvals & acceptance

Deliverables are deemed accepted when the Client: (a) approves them in writing, or (b) uses them publicly, or (c) doesn’t provide consolidated feedback within 7 calendar days of delivery (unless otherwise agreed).

7. Intellectual property & usage rights

We love showcasing our work. Unless you request otherwise in writing, Twist may feature parts of your project (after launch) in its portfolio or on social media.

8. Client responsibilities

Provide accurate information, timely feedback, brand assets, access and approvals.

Ensure you have the rights/permissions to any content you supply.

​

Ensure compliance of your channels/ads/claims with applicable laws and platform policies.

9. Warranties & disclaimers

We bring strategy, creativity, and care to every project. That said, marketing results depend on many factors. We can’t promise a specific number of views, followers, or sales.

We’re responsible for delivering quality work as agreed, not for results beyond our control (algorithm changes, market shifts, etc.).

Except for willful misconduct or mandatory law, Twist is not liable for indirect or consequential damages (loss of profit, data, opportunities, reputation, etc.).

10. Coaching & workshops

Coaching, audits, and workshops provide guidance and recommendations, not legal, financial, or medical advice. Implementation is the Client’s responsibility.

11. Subcontractors & collaborators

Twist may engage trusted third parties (production crew, graphic designers, developers, SEO specialists, etc.) to deliver parts of the services. We remain your main point of contact.

12. Force majeure

Twist is not liable for delays or non-performance due to events beyond our reasonable control (e.g., illness, accidents, extreme weather, strikes, shutdowns, outages, platform failures, pandemics, government measures). Obligations are suspended for the duration of the event; if it lasts over 2 months, either party may terminate without compensation for the unperformed part.

13. Confidentiality & data

We both keep non-public information confidential.

We process any personal data in line with applicable laws and our Privacy Policy (e.g., contact details for invoicing and project management).

14. Applicable law & jurisdiction

These Terms and all Orders are governed by Belgian law. Any dispute falls under the exclusive jurisdiction of the courts of Brussels, without prejudice to mandatory consumer rules.
